1. Introduction

Welcome to Medex Biomedical Services ("Medex", "we", "us" or "our"). These Terms and Conditions govern your use of our website, products and services, including biomedical equipment sales, service and repair, Annual Maintenance Contracts (AMC) and related support. By accessing our website or engaging our services, you agree to comply with and be bound by these terms.

2. Our Services

Medex Biomedical Services provides sales of biomedical equipment, on-site service and repair, Annual Maintenance Contracts (AMC) and product delivery across India. We aim to deliver service and repair solutions within 48 hours and to fulfil product orders within 72 hours. These timelines are service commitments made in good faith and may be affected by factors beyond our reasonable control, such as part availability, courier delays, site accessibility or force majeure events.

3. Service Repairs & AMC

Repair and maintenance services are carried out by qualified biomedical personnel. The scope of work, parts covered and response times for Annual Maintenance Contracts are defined in the individual AMC agreement signed with the client. Consumables, spare parts and components not expressly covered by an AMC may be chargeable separately.

4. Orders, Pricing & Delivery

All prices are subject to change without prior notice until an order is confirmed. We endeavour to deliver products within 72 hours of order confirmation, subject to stock availability and delivery location. Risk in the goods passes to the client on delivery. Title to the goods remains with Medex until payment is received in full.

5. Warranties

Equipment may carry a manufacturer's warranty, the terms of which are set by the respective manufacturer. Our service and repair work is warranted only to the extent stated on the relevant service report or invoice. Except as expressly stated, our services and products are provided without any further warranties of any kind, whether express or implied.

6. Client Obligations

Clients must provide accurate information, ensure safe and reasonable access to equipment and premises for our personnel, operate equipment in accordance with manufacturer instructions, and settle invoices within the agreed payment terms. Misuse, unauthorised repair or tampering may void applicable warranties and AMC coverage.

7. Limitation of Liability

To the maximum extent permitted by law, Medex Biomedical Services shall not be liable for any indirect, incidental or consequential loss, including loss of revenue, downtime or data, arising from the use of our products or services. Our total liability in respect of any claim shall not exceed the amount paid for the specific product or service giving rise to the claim.

8. Payment

Invoices are payable within the period stated on the invoice or in the applicable agreement. We reserve the right to suspend services or withhold delivery in the event of overdue payments.

9. Termination

We reserve the right to suspend or terminate services for clients who breach these terms, engage in fraudulent activity, or fail to meet their payment obligations. Termination of an AMC is governed by the cancellation terms of the respective agreement.

10. Changes to Terms

We may update these Terms and Conditions from time to time. Continued use of our website or services after any change constitutes acceptance of the revised terms.

11. Governing Law

These terms are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the competent courts.
